Terms of Service

1. Acceptance of Terms

By accessing or using the Patchwise.ai website analysis, scorecard generation, and site optimization services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.

2. Website Ownership Verification & Authorization

By submitting a website URL for analysis through our Services, you represent and warrant that:

  • You are the owner of the website submitted, or you are an authorized representative, officer, employee, or agent of the organization that owns or operates the website;
  • You have the legal authority to request an analysis, audit, redesign, or any other service performed on the submitted website;
  • The email address you provide is your own or belongs to the organization you represent, and you consent to receiving the analysis results at that address;
  • You are not submitting a competitor's website, a website you have no affiliation with, or a website for the purpose of obtaining proprietary competitive intelligence without the owner's consent.

3. Prohibition on Impersonation & Unauthorized Submissions

You are strictly prohibited from misrepresenting your identity, affiliation, or authority when using the Services. Specifically, you may not:

  • Submit a website URL for which you lack ownership or authorization;
  • Impersonate a website owner, administrator, or authorized representative;
  • Provide false, misleading, or fraudulent information about your identity or affiliation with the website;
  • Use the Services to conduct unauthorized surveillance, competitive intelligence gathering, or reconnaissance on websites you do not own or operate;
  • Use automated tools, bots, or scripts to submit multiple websites in bulk without authorization for each.

4. Liquidated Damages for Violations

You acknowledge and agree that any violation of Section 2 or Section 3 of these Terms will cause UITL Inc. substantial harm, including but not limited to reputational damage, legal liability to third-party website owners, wasted computational resources, and disruption to our Services.

Because actual damages from such violations would be difficult to calculate, you agree that each unauthorized submission constitutes a separate violation and subjects you to liquidated damages of Five Thousand Dollars ($5,000.00 USD) per incident. This amount represents a reasonable pre-estimate of the minimum harm caused by each violation and is not intended as a penalty.

UITL Inc. reserves the right to pursue all available legal remedies, including but not limited to injunctive relief, actual damages (if greater than the liquidated amount), and recovery of attorneys' fees and costs.

5. IP Address Logging & Fraud Detection

To protect our Services and the rights of website owners, we log the following information for every scan request:

  • Your IP address at the time of submission;
  • The date, time, and timezone of each request;
  • Your browser user agent and device fingerprint;
  • The email address and website URL submitted.

This information is retained for a minimum of three (3) years and may be used as evidence in legal proceedings related to unauthorized use. We may also share this information with law enforcement if we suspect fraudulent or malicious activity.

6. Identity Verification & Two-Factor Authentication

UITL Inc. reserves the right to require two-factor authentication (2FA) or additional identity verification at its sole discretion, including but not limited to situations where:

  • Multiple scan requests originate from the same IP address;
  • A website owner disputes an unauthorized scan of their property;
  • Suspicious patterns of activity are detected (e.g., bulk submissions, rapid sequential requests, known VPN/proxy usage);
  • The submitted website is a high-profile or government domain.

Failure to complete identity verification when requested will result in the scan being canceled and the account being flagged for review.

7. Dispute Resolution by Website Owners

If you are a website owner and believe your site was submitted for analysis without your authorization, you may contact us at legal@patchwise.ai to:

  • Request immediate removal of any generated analysis, scorecard, or demo site;
  • Obtain the logged submission details (IP address, email, timestamp) for the unauthorized request;
  • File a formal complaint that may result in liquidated damages being pursued against the unauthorized submitter.

We will respond to all ownership disputes within two (2) business days.

8. Fair Use Policy & Service Limits

All subscription plans, add-ons, and services are subject to fair and reasonable use. UITL Inc. reserves the right to limit, throttle, or suspend service if usage substantially exceeds what is typical for similarly situated customers.

  • AI Site Redesign: The one-time redesign covers up to 10 standard pages. Additional pages, custom functionality, e-commerce integrations, or complex applications are quoted separately. The ongoing ($99/mo) plan includes one revision cycle per billing period (up to 5 pages of changes). Redesigns are generated by AI and may require customer review and feedback.
  • AI Credits: Credits are allocated monthly per your subscription tier and do not roll over. Actions consuming credits (chat, guardrail checks, triage, design sessions) are metered at the rates published on our pricing page.
  • Managed Hosting: Included hosting covers reasonable traffic volumes. Sites exceeding 100 GB of bandwidth transfer per month may incur additional charges or require a custom plan.
  • Autopilot Content: AI-generated content volume is subject to your plan's credit allocation. All AI-generated content is provided on a best-effort basis and should be reviewed before publication.
  • Compliance Guardrails: Guardrail checks are AI-powered, best-effort validations and do not constitute legal, regulatory, or professional compliance advice. Customers are solely responsible for ensuring their content meets applicable laws and industry regulations.
  • Service Level: While we strive for high availability, service uptime targets are goals, not contractual guarantees, unless a separate enterprise service agreement is executed.

UITL Inc. may update these limits at any time. Material changes will be communicated to active subscribers with at least 30 days' notice.

9. Limitation of Liability

The Services are provided “as is” and “as available.” UITL Inc. makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of any analysis, scorecard, or redesign. Our SEO scores and recommendations are for informational purposes and do not guarantee specific search engine rankings or outcomes.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of such courts.

11. Modifications

UITL Inc. reserves the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of the Services after any modification constitutes acceptance of the revised Terms.
